| In the majority of the cases, MEGALUX proposes to its customers original optics whose forms were never used or exploited. |
| It is appropriate, in a partnership spirit with our customers, to take all the necessary precautions in order to protect the utilization of these optics. |

| With this intention, in addition to protections related with the patents of Fluid Optics, MEGALUX has developed four levels of protection: |

Non-disclosure contracts |
|
| |
|
|
| The non-disclosure contracts are signed with our customers before any study. They guarantee a total confidentiality concerning the relations which we maintain with our customers, without any obligation of contract. |
| Two contracts are drawn up in the same terms : the first protects confidential informations from our customer, the second, those from MEGALUX. |
| The correspondents of each company are quoted by name and pecuniary compensations are envisaged in the event of failure with the obligations of the non-disclosure contract. |
| Models of these contracts are available at our legal service. |

| Before the submission of the final study report, we protect the contents from this report by legal protections. |
| The study report deposited contains the name of the customer for whom we carried out this study. So, we guarantee to each one of our customers early product of the originality of the optics calculated for them. |
| If future disputes appear, emanating in particular from the competitors of our customers, MEGALUX is able to prove the anteriority of conceived optics and guarantees the possible utilization by our customers (subject to a licence concluded between these customers and MEGALUX). |

General conditions of sale |

| Our general conditions of sale completely form part of the proposal of study and price which we present to our customers. |
| They are usual and established in accordance with the French laws. |
| |
Licences |

| The licences grant to our customers the authorization to manufacture, make manufacture and market the optics conceived by MEGALUX. |
| The majority of the terms of these licences, and in particular the prices and terms of payment, are free discussed with our customers. However, we impose some points in order to perfect the protection of these optics and to avoid "blocking" licences which should have the aim to prevent the marketing of this optics by whoever. These nonnegotiable points are : |

- The licence is written in French and is subjected to the French laws,
- A marking is envisaged on the product (" MEGALUX ", " Fluid Optics ", logo, number of licence, etc...). The type of marking is negotiable.
- Cancellation of the licence in the event of non-payment of the royalties or non-utilization at the end of a negociated time,
- Licence is granted for a precise type of optics.
